Venzo is not a bank, deposit-taking institution, trust company, exchange, broker, dealer, broker-dealer, investment adviser, investment manager, payment institution, custodian, fiduciary, or asset manager. Venzo does not provide investment, tax, legal, accounting, financial, regulatory, or other professional advice. Any information made available through the Services is provided for informational purposes only.

The Services are non-custodial. Venzo does not hold, custody, control, transfer, lend, borrow, pledge, rehypothecate, invest, manage, or otherwise exercise control over user assets. Any transaction involving digital assets occurs only when you independently review, authorize, and sign the transaction through your digital wallet.

Before making any decision involving digital assets, vaults, strategies, stablecoins, tokenized real-world assets, rewards, swaps, payments, or third-party services, you should conduct your own independent analysis and seek advice from qualified professional advisers.

### Non-Custodial Nature of the Services

Venzo may provide interfaces, dashboards, informational materials, analytics, vault discovery tools, transaction-routing tools, quotes, routes, or draft transaction messages. These tools may help you identify actions you may wish to take, but Venzo does not make decisions for you and does not execute transactions on your behalf.

You are solely responsible for:

* maintaining control and security of your digital wallet, private keys, seed phrases, passwords, and devices;
* reviewing all transaction details before signing;
* confirming that any transaction, vault, strategy, blockchain, token, protocol, route, reward, or third-party service is suitable for you;
* understanding the risks, fees, permissions, approvals, and consequences of each transaction; and
* complying with all laws and regulations applicable to you.

Venzo cannot initiate, authorize, sign, cancel, reverse, modify, recover, or guarantee any blockchain transaction or any digital asset.

### No Investment, Legal, Tax, or Financial Advice

Information displayed through the Services, including APY, APR, projected returns, target yield, estimated returns, risk labels, vault metadata, strategy descriptions, dashboards, analytics, transaction routes, proof-of-reserves information, audit references, third-party materials, and educational content, is provided for informational purposes only.

Such information should not be treated as investment, financial, legal, tax, accounting, regulatory, or other professional advice. ### Digital Asset and Market Risk

Digital assets, stablecoins, tokenized assets, vault receipt tokens, reward tokens, points, and other blockchain-based assets are highly risky and may be volatile, illiquid, or lose value rapidly. You may lose some or all of your assets.

Market risks include, but are not limited to:

* price volatility and sudden market movements;
* liquidity shortages and market depth limitations;
* depegging or instability of stablecoins;
* interest rate changes;
* credit, duration, collateral, and counterparty risk;
* changes in market sentiment;
* regulatory developments;
* technological failures;
* exchange, protocol, or infrastructure outages;
* cyberattacks, exploits, or governance attacks; and
* broader macroeconomic or geopolitical events.

### Smart Contract and Protocol Risk

Smart contracts, vaults, decentralized exchanges, bridges, oracles, staking systems, lending protocols, payment systems, and other blockchain protocols may contain bugs, vulnerabilities, errors, design flaws, governance failures, or economic weaknesses.

Even audited smart contracts may be exploited or fail. Audits, reviews, monitoring tools, security practices, insurance arrangements, proof-of-reserves reports, or other safeguards cannot eliminate risk or guarantee protection.

Smart contract and protocol risks include, but are not limited to:

* code vulnerabilities, bugs, or exploits;
* oracle failure, manipulation, or delay;
* validator, sequencer, or network failure;
* governance attacks or malicious upgrades;
* admin key compromise;
* bridge failure;
* incorrect configuration;
* failed or reverted transactions;
* loss of private keys or compromised wallet permissions; and
* unexpected protocol behavior.

### Vault, Strategy, and Strategy Manager Risk

The Services may display or provide access to information relating to third-party vaults, strategies, protocols, curators, asset managers, strategy managers, decentralized autonomous organizations, or other third parties. These parties may determine how assets are deployed, rebalanced, lent, borrowed, swapped, hedged, staked, tokenized, redeemed, or otherwise used.

Venzo does not control third-party vaults, strategies, strategy managers, protocols, or smart contracts. Venzo does not guarantee that any vault or strategy will achieve its target yield, maintain liquidity, preserve principal, operate as expected, or remain available.

Vault and strategy risks include, but are not limited to:

* strategy underperformance;
* principal loss;
* liquidation;
* excessive leverage;
* poor execution;
* operational errors by third-party managers;
* failure to rebalance or hedge;
* inaccurate reporting;
* redemption delays;
* withdrawal restrictions;
* strategy capacity limitations;
* concentration risk;
* changes in strategy terms; and
* insolvency, misconduct, or failure of a third-party manager or protocol.

### Stablecoin and Tokenized Real-World Asset Risk

Stablecoins, tokenized real-world assets, vault receipt tokens, and related products may involve additional risks. These may include issuer risk, reserve risk, custody risk, credit risk, interest rate risk, duration risk, liquidity risk, collateral risk, transparency risk, redemption risk, depeg risk, legal enforceability risk, transfer restriction risk, and regulatory risk.

Tokenized real-world asset products may depend on off-chain assets, custodians, trustees, administrators, auditors, borrowers, issuers, banks, brokers, asset managers, or other intermediaries. Failures, delays, disputes, insolvency, fraud, misrepresentation, operational errors, or regulatory actions affecting these parties may impair asset value, liquidity, or redemption.

Venzo does not guarantee the value, backing, legal status, liquidity, redeemability, collateralization, audit status, proof-of-reserves accuracy, or performance of any stablecoin, tokenized asset, vault token, receipt token, or real-world asset product.

### Liquidity and Redemption Risk

Digital assets, vault positions, tokenized assets, rewards, and third-party products may be illiquid or difficult to exit. Liquidity may change quickly and may be unavailable during periods of market stress, network congestion, protocol disruption, regulatory action, or operational failure.

You may not be able to redeem, withdraw, sell, swap, bridge, or transfer assets at the expected time, price, or amount. Redemption may be delayed, restricted, suspended, subject to fees, subject to minimums, or unavailable. Slippage, spreads, fees, withdrawal queues, lock-ups, cooldowns, and liquidity constraints may reduce the value you receive.

### Execution, Slippage, Routing, and MEV Risk

Venzo may display quotes, routes, estimates, or draft transaction messages for your review. These may be based on available information at a point in time and may change before or after you sign a transaction.

Execution risks include, but are not limited to:

* price movement before execution;
* slippage;
* failed, delayed, reverted, or partially completed transactions;
* incorrect transaction parameters;
* high gas fees or insufficient gas;
* miner/maximal extractable value (MEV);
* front-running, sandwich attacks, or other transaction-ordering risks;
* liquidity fragmentation;
* routing errors;
* quote inaccuracy;
* network congestion;
* wallet or RPC errors; and
* unexpected protocol behavior.

You are responsible for reviewing all transaction details before signing. Venzo does not guarantee execution, price, route, timing, confirmation, finality, or outcome.

### Bridge and Cross-Chain Risk

Cross-chain transfers, bridges, wrapped assets, messaging protocols, and interoperability systems involve significant risk. These systems may be vulnerable to exploits, validator failures, oracle issues, liquidity shortages, delayed finality, governance attacks, incorrect routing, or loss of funds.

Bridged or wrapped assets may not maintain parity with the underlying asset. A bridge, chain, validator set, relayer, or messaging protocol may fail, halt, censor, delay, or incorrectly process transactions. Venzo does not guarantee the security, availability, timing, or outcome of any bridge or cross-chain transaction.

### Oracle, Data, and Information Risk

The Services may display data from blockchains, protocols, or third-party providers, including APY, APR, total value locked, token prices, balances, vault information, proof-of-reserves data, risk labels, audit references, rewards information, and other analytics.

This information may be incomplete, delayed, inaccurate, outdated, manipulated, unavailable, or misinterpreted. Venzo does not guarantee the accuracy, completeness, timeliness, or reliability of any data displayed through the Services or provided by third parties.

### Rewards, Points, Cashback, and Promotion Risk

Venzo or third parties may offer rewards, points, cashback, referrals, campaigns, promotional benefits, incentives, or similar programs. These programs may be subject to eligibility requirements, jurisdictional restrictions, compliance checks, timing limitations, and additional terms.

Rewards may have no cash value, may not be transferable, may not be redeemable, may be delayed, may be modified, may be discontinued, or may become unavailable at any time. Venzo does not guarantee that you will receive any reward or that any reward will maintain any value, utility, transferability, redemption right, or availability.

### Payment, Card, and Fiat On/Off-Ramp Risk

If Venzo Pay, card-related features, payment features, or fiat on/off-ramp features are made available, they may depend on third-party payment providers, card issuers, banks, processors, custodians, compliance vendors, and other service providers.

These services may involve risks including account restrictions, transaction delays, chargebacks, declined transactions, frozen funds, failed settlements, foreign exchange costs, payment network rules, card program changes, KYC or AML rejection, provider outages, regulatory restrictions, and third-party fees. Venzo does not guarantee the availability, approval, execution, settlement, reversal, or outcome of any payment, card, or fiat on/off-ramp service.

### Regulatory and Jurisdictional Risk

Laws and regulations governing digital assets, stablecoins, tokenized assets, DeFi, rewards, payments, cards, tax, sanctions, securities, commodities, derivatives, lending, custody, consumer protection, and related services are uncertain and rapidly evolving.

Regulatory developments may materially affect the Services, third-party protocols, vaults, strategies, assets, rewards, payments, or your ability to access or use them. Certain services, assets, rewards, vaults, strategies, or features may be restricted, suspended, discontinued, or unavailable in some jurisdictions.

You are responsible for understanding and complying with all laws and regulations applicable to you. Venzo may restrict, suspend, or terminate access to the Services where required or appropriate for legal, regulatory, sanctions, compliance, risk-management, or business reasons.

### Operational, Security, and Cybersecurity Risk

Venzo, third-party services, blockchain networks, wallets, protocols, infrastructure providers, analytics providers, security providers, payment providers, and other systems may experience operational failures, outages, degraded performance, cyberattacks, data breaches, malware, phishing attacks, denial-of-service attacks, software bugs, misconfigurations, human error, or other disruptions.

These events may affect your ability to access the Services, view accurate information, connect a wallet, submit transactions, receive rewards, withdraw assets, redeem assets, or otherwise interact with third-party services.

Venzo implements safeguards designed to support the security and reliability of the Services, but no system can be completely secure or continuously available.

### Counterparty and Third-Party Service Risk

The Services may involve or display information about third-party wallets, protocols, vaults, strategy managers, curators, asset managers, decentralized exchanges, bridges, oracles, blockchains, validators, payment providers, card issuers, fiat on/off-ramp providers, identity verification providers, analytics providers, security providers, custodians, issuers, borrowers, liquidity providers, and other third-party services.

These third parties operate independently of Venzo. Venzo is not responsible for their actions, omissions, solvency, security, performance, availability, terms, fees, compliance, or privacy practices.

Third-party failures may result in loss of assets, loss of rewards, transaction delays, incorrect information, restricted access, failed redemptions, operational disruption, or other harm.

### Tax Risk

Transactions involving digital assets, rewards, points, cashback, swaps, deposits, withdrawals, staking, lending, borrowing, vault interactions, redemptions, bridges, or payments may have tax consequences. Tax treatment may be uncertain and may vary by jurisdiction.

You are solely responsible for determining, reporting, withholding, and paying any taxes, duties, charges, or filings applicable to your activities. Venzo does not provide tax advice and does not guarantee any tax treatment.

### No Guarantee

Venzo does not guarantee:

* any yield, APY, APR, return, reward, cashback, point, or incentive;
* preservation of principal;
* liquidity, redemption, withdrawal, settlement, or transferability;
* stablecoin peg, token value, collateral value, or asset backing;
* vault, strategy, protocol, smart contract, bridge, wallet, or blockchain performance;
* accuracy of dashboards, analytics, proof-of-reserves information, risk labels, or third-party materials;
* availability of any service, feature, vault, asset, network, route, quote, reward, payment provider, card provider, or third-party integration;
* execution, confirmation, reversal, cancellation, recovery, or finality of any transaction; or
