# Eligibility Requirements

These Eligibility Requirements describe baseline conditions for accessing or using Venzo’s Services, including Venzo Earn, Venzo Swap, Venzo Pay, Venzo Rewards, vault discovery, transaction-routing interfaces, dashboards, documentation, and related services.

The Services are non-custodial. Venzo does not hold, custody, control, transfer, lend, borrow, pledge, rehypothecate, invest, manage, or otherwise exercise control over user assets. Any transaction involving digital assets occurs only when you independently review, authorize, and sign the transaction through your digital wallet.

By accessing or using the Services, connecting a digital wallet, viewing vault or strategy information, requesting a quote or route, participating in a rewards program, or interacting with any third-party protocol or service through the Services, you represent and warrant that you satisfy the eligibility requirements below.

### General Eligibility

You may use the Services only if:

* you are at least eighteen (18) years old and of legal age to form a binding contract under the laws applicable to you;
* you have full legal capacity and authority to use the Services, whether on your own behalf or on behalf of an entity, DAO, organization, or other person;
* your access to and use of the Services is permitted under all laws, regulations, rules, and requirements applicable to you;
* you are not located in, ordinarily resident in, organized under the laws of, or accessing the Services from the United States or any other jurisdiction where use of the Services is prohibited by Venzo or applicable law;
* you are not subject to sanctions, named on any sanctions list, located in a sanctioned jurisdiction, or otherwise prohibited from using the Services under applicable sanctions, anti-money laundering, counter-terrorist financing, export control, or similar laws;
* you are not using the Services for money laundering, terrorist financing, sanctions evasion, fraud, market manipulation, illegal gambling, illegal securities activity, or any other illegal or unauthorized purpose;
* all digital assets you use in connection with the Services have been earned, received, or otherwise acquired by you in compliance with applicable law;
* no digital assets you use in connection with the Services have been mixed, tumbled, or otherwise processed to hide, mask, or obscure their origin, ownership, or transaction history; and
* you will provide accurate, current, and complete information where Venzo or a third-party service provider requests information for legal, regulatory, compliance, tax, eligibility, fraud-prevention, or security purposes.

### Wallet and Asset Control

You represent and warrant that:

* you own or have lawful authority to connect and use any digital wallet you connect to the Services;
* you own or have lawful authority to transfer, approve, swap, deposit, withdraw, bridge, claim rewards, or otherwise interact with any digital assets through your digital wallet;
* you are solely responsible for maintaining the security of your digital wallet, private keys, seed phrases, passwords, devices, wallet permissions, and accounts;
* you understand that Venzo does not have access to your private keys or seed phrases and cannot recover a lost wallet, lost private key, lost seed phrase, or lost digital asset;
* you understand that blockchain transactions may be irreversible and that Venzo cannot cancel, reverse, modify, recover, or guarantee any transaction; and
* you will review all transaction details, wallet permissions, routes, fees, networks, assets, protocols, and smart contracts before signing any transaction.

### Technical and Operational Proficiency

The Services may involve complex digital asset, blockchain, DeFi, vault, strategy, rewards, payment, and third-party protocol interactions. You should not use the Services unless you have sufficient knowledge, experience, and professional advice to understand and evaluate the risks.

You should be able to:

* use non-custodial wallets, such as MetaMask, Rabby, Safe, or similar wallets;
* safely store and manage private keys, seed phrases, hardware wallets, wallet permissions, and device security;
* understand how to approve, sign, revoke, and monitor on-chain transactions;
* understand gas fees, transaction costs, slippage, routing, bridging, network congestion, and failed or reverted transactions;
* understand the risks of smart contracts, oracles, bridges, decentralized exchanges, aggregators, vaults, protocols, and wallet integrations;
* understand the difference between APY, APR, projected returns, target yield, estimated returns, and realized returns;
* understand the risks of stablecoins, tokenized real-world assets, receipt tokens, reward points, vault tokens, and other digital assets;
* understand collateralization, liquidation, redemption, lock-up, withdrawal, and liquidity mechanisms where applicable;
* review protocol documentation, vault documentation, risk disclosures, audit reports, proof-of-reserves information, and third-party terms before interacting with a protocol or vault;
* verify contract addresses, URLs, wallet prompts, transaction parameters, and user interfaces before initiating transactions;
* use on-chain analytics tools, portfolio trackers, block explorers, or other tools to monitor wallet activity and positions;
* understand the potential tax consequences of digital asset transactions, rewards, swaps, deposits, withdrawals, and redemptions; and
* make independent decisions during periods of market volatility, technical disruption, or adverse market conditions.

### Product, Vault, and Strategy Eligibility

Certain Services, vaults, strategies, rewards, campaigns, payment features, card features, fiat on/off-ramp features, or third-party integrations may be subject to additional eligibility requirements. These requirements may include:

* jurisdiction restrictions;
* sanctions, anti-money laundering, counter-terrorist financing, fraud-prevention, or identity verification checks;
* minimum or maximum transaction amounts;
* wallet, network, asset, or protocol compatibility requirements;
* strategy-specific or vault-specific risk acknowledgements;
* additional terms, policies, or disclosures;
* restrictions imposed by third-party protocols, strategy managers, payment providers, card issuers, fiat on/off-ramp providers, identity verification providers, or other service providers; and
* changes based on legal, regulatory, security, risk-management, liquidity, operational, or business considerations.

Venzo may restrict, suspend, or terminate access to any Service, feature, vault, strategy, reward, campaign, route, asset, network, or third-party integration at any time where required or appropriate for legal, regulatory, sanctions, compliance, security, risk-management, operational, or business reasons.

### Restricted Jurisdictions and Prohibited Persons

The Services are not available to persons who are currently or ordinarily located or resident in the United States, or who access the Services from the United States. Using a VPN, proxy, or other method to conceal a United States location or residence is prohibited.

The Services are also not available to persons or entities located in, ordinarily resident in, organized under the laws of, or accessing the Services from any jurisdiction where Venzo prohibits access or where access would violate applicable law. This may include jurisdictions subject to comprehensive sanctions, financial restrictions, regulatory prohibitions, or other legal restrictions.

You may not use the Services if you are:

* a person subject to sanctions or listed on any sanctions list;
* located in or ordinarily resident in a sanctioned jurisdiction;
* acting on behalf of a sanctioned person or prohibited person;
* using assets derived from illegal or unauthorized activity;
* using the Services to evade sanctions, compliance controls, geoblocking, eligibility checks, or other restrictions; or
* otherwise prohibited from using the Services under applicable law or Venzo’s terms.

### Compliance Information

Venzo or its third-party service providers may request information from you for sanctions screening, jurisdiction checks, eligibility checks, anti-money laundering checks, fraud prevention, tax compliance, identity verification, or other compliance purposes.

If you provide information that is false, inaccurate, incomplete, misleading, outdated, fraudulent, or unlawful, or if Venzo reasonably believes that your use of the Services may violate applicable law, Venzo may restrict, suspend, or terminate your access to the Services.

### No Circumvention

You may not attempt to bypass, circumvent, disable, or interfere with any eligibility, compliance, sanctions, geoblocking, security, fraud-prevention, or access-control measures used by Venzo or its service providers. Any attempted circumvention may result in restriction, suspension, or termination of access to the Services.

### Independent Responsibility

You are solely responsible for determining whether you are eligible to use the Services and whether your use of the Services is lawful in your jurisdiction. You are also solely responsible for conducting your own independent analysis of the risks, legal requirements, tax consequences, and suitability of any digital asset, vault, strategy, reward, swap, payment feature, card feature, protocol, or third-party service.

If you do not satisfy these Eligibility Requirements, or if you are unsure whether you satisfy them, you should not access or use the Services.
